The Pakistan Telecommunication Authority (PTA) has granted a crucial conditional approval to the PTCL Group for the acquisition of Telenor Pakistan, marking a significant advancement in the long-pending deal that is set to reshape the country’s telecom sector.
The regulator had presented a set of nearly 30 to 40 conditions covering regulatory, financial, structural, and compliance requirements, which PTCL has provided unconditional acceptance for, thus clearing a major regulatory hurdle that had delayed the transaction for months.
This conditional approval sets the stage for the final phases of the acquisition process, which include Telenor Pakistan approaching the Securities and Exchange Commission of Pakistan (SECP) and the State Bank of Pakistan (SBP) for statutory approvals and changes to their directorship. Following these clearances, the two entities will form a unified structure before Telenor officially approaches the PTA for a formal merger approval.

The PTA will then evaluate whether all stringent conditions, which include safeguards to protect consumer interests, ensure fair competition by preventing anti-competitive behavior, and maintaining non-discriminatory access to infrastructure, have been met before issuing a final decision, after which the High Court will issue the amalgamation order.

The eventual consolidation of the two major operators into a single entity (Ufone is PTCL’s subsidiary) is expected to significantly reshape market competition, particularly ahead of future spectrum auctions, by creating a much larger operator with enhanced scale and spectrum holding.
